1. Introduction
- Round Financial Limited (herein ‘Round’) with registered office at 5th Floor 167- 169 Great Portland Street, London, England, W1W 5PF provides account information services to businesses
- Round (FRN: 1005355) is a PSD Agent of Yapily Connect Ltd (FRN: 827001)
- Upon connecting your accounts once signed up, you will be required to agree to Yapily’s terms and privacy policy. These are available to view here:
- By agreeing to these Terms, you are not entering into a relationship with Round for the provision of investment services. This requires further onboarding and due diligence. For more information please email compliance@roundtreasury.com)
- When you sign up for a Round account, or accept an invitation to use the Service in conjunction with an individual or team who already has a Round account, you are agreeing to these Terms on behalf of the organisation you represent. If you are an individual not formally associated with an organisation (for example an entrepreneur working with a couple of associates prior to the formation of your company), then you are entering into this Agreement on your own behalf, you are the “Customer” and you will be assigned as the administrator of your account. If you register for the Service using your corporate email domain, then your organization is the “Customer” and can modify or re-assign roles within your account and otherwise exercise the rights granted to the Customer pursuant to these Terms. If your organization, in its role as the Customer, elects to replace you as the administrator of its account, we will provide you with notification of such action and you agree to take any actions reasonably necessary and requested by Round or Customer to facilitate such transfer of authority.
- By accessing or using the Services, Customer acknowledges that Customer has read, understands, and agrees to be bound by these Terms and Round’s Privacy Policy, which are hereby incorporated into and made a part of these Terms.
2. Definitions
Service - Provision of account information services through the Round platform including account details, balances and transactions
Terms - These Terms and Conditions
Customer - The entity upon which you sign up on behalf of. If you are an individual not formally associated with an organization (for example an entrepreneur working with a couple of associates prior to the formation of your company), then you are entering into this Agreement on your own behalf, you are the “Customer” and you will be assigned as the administrator of your account.
Users - Natural persons who sign up to Round’s platform on behalf of the Customer Entity
3. Account Services
- We will provide account information services to you by providing access through Yapily, an Open Banking API provider
- The accounts you will be able to access are from institutions in the UK and EU on this list: https://www.yapily.com/coverage
- When you connect accounts to the Round platform you will be redirected to the account provider and grant us access to your:
- Account details
- Balance
- Transaction History
- Any account linked onto the Round platform will be kept linked for 180 days. After this we'll ask you to re-confirm Round's access.
4. Changes
- We will notify you of any intended material changes to these Terms and the date they become effective
- If you do not agree with the proposed changes you must not use our Services. If you continue to use our Services, you will be deemed to have accepted the changes to the Terms
5. Fees
- No fees are payable by you to us for your use of the Services as an end user.
6. Complaints
- For purposes of these Terms, a “complaint” is an expression of dissatisfaction made by you in relation to any of the Services. In the event that you make a complaint, we will make every effort to rectify the problem as soon as reasonably possible. If you have any complaint about the Services, you should contact our dedicated team at help@roundtreasury.com and we will try and resolve it as soon as possible.
- If you feel that your complaint has not been dealt with satisfactorily, you have the right to take your complaint to the Financial Ombudsman Service. If you have not received a final response letter from us within 30 business days of raising your complaint, or where the final response letter has been received but is not satisfactory to you, you will need to bring your complaint to the Financial Ombudsman Service within six months of receipt of our final response letter. 8. Access to the Service and Acceptable Use
- What information you will need to provide to access the service
- To access the Services, You must register for a Round account by providing your full legal name, a valid email address, the name of the entity you are signing up on behalf of and any other information required to complete the registration process.
- You are responsible for all login credentials, including user names and passwords and Round shall not be liable for any damages or losses that may occur as a result of your failure to maintain the confidentiality of their login credentials.
- You are responsible for notifying us at help@roundtreasury.com if you become aware of any unauthorized use of or access to your account.
- Round may communicate with you via email or pushed notifications regarding your account, system updates, or other issues related to your account and may assume that any communications we receive under your account have been submitted by you.
- Acceptable Use: agree to not tamper, scrape, try to hack, penetrate etc. All Users must comply with the following rules regarding acceptable use of the Services. Users may not:
- access, tamper with or use non-public areas of the Services, including but not limited to Round’s computer systems or the technical delivery systems of Round or its service providers; probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measure; “scrape” or otherwise access or search the Services by means other than through Round’s publicly supported interfaces; attempt to overwhelm or disrupt the Services or Round’s infrastructure by intentionally imposing unreasonable burdens on our systems (for example, by using automated methods to send requests to our servers at a rate beyond what could be sent by a human user during the same period of time); or disrupt or interfere with the access of other Users or any host or network, including, without limitation, by sending a virus, overloading, spamming, mail- bombing or flooding the Services, or by scripting the creation of content in a manner designed to interfere with or create an undue burden on the Services.
- In addition to any other remedies that may be available to us, Round reserves the right to take that remedial action we deem necessary, including the immediate suspension or termination of a User’s account, upon notice and without liability to Round should Customer or any of its Users fail to abide by these acceptable use provisions or, if in Round’s sole discretion, such action is deemed necessary to prevent disruption to the Services or harm to others. If you are an End User, Round reserves the right to notify your organisation and/or the administrator associated with your account with respect to any violation of these Terms.

9. Use of Third Party Services in Connection with Round's Services
- Round provides the services in these Terms through Yapily Connect and is a PSD Agent.
- By connecting your accounts to the Round platform, you agree to Yapily Connect accessing your bank’s data, and Yapily’s Terms and Conditions and Privacy Notice.
- Round provides transaction enrichment and categorisation through a third party, Ntropy Inc. By accepting these terms, you agree for your data to be shared with them for categorisation.
10. Term and Termination
- How long these terms will last: These Terms shall remain in full force and effect until all Customer subscriptions to the Service have expired, have been terminated or are cancelled.
- Grounds for termination: Either party may terminate the Customer’s subscription to the Service if the other party: (a) is in material breach of these Terms and fails to cure such breach within 30 days following written notice by the non-breaching party; or (b) ceases its business operations or becomes subject to insolvency proceedings and such proceedings are not dismissed within sixty (60) days. Customer may cancel its subscription to the Service by notifying Round at help@roundtreasury.com
- How Round will close the account: Round may immediately deactivate the account of the Customer and all its associated Users upon termination or cancellation of the account.
11. Round's responsibilities
- Round will make the Services available to Customer and its Users as described in these Terms.
- Round will maintain industry-standard administrative, physical, and technical safeguards designed to prevent unauthorised access, use, modification, deletion or disclosure of the Customer Content and will ensure that third-party providers utilized by Round in connection with its delivery of the Services do the same.

12. Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, THE SERVICE AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND ROUND FINANCIAL EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON- INFRINGEMENT. CUSTOMER ACKNOWLEDGES THAT WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
- To the fullest extent permitted by applicable law, Round Financial shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- The use or inability to use Round’s platform.
- Unauthorised access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from Round.
- Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through Round by any third party. - Users of the Accounts and Insights product acknowledge and agree that the use of such products involves inherent risks, and Round shall not be responsible for any damage or harm incurred as a result of such risks.
- We shall not be in breach of our obligations under these Terms nor shall we be liable for any loss or damage incurred or suffered by you if there is any total or partial failure of, or any delay or interruption in, the performance of our duties and obligations under these Terms resulting from any events or circumstances beyond our control.
14. Governing Law and Jurisdiction
- These Terms are governed by the law of England and Wales and the parties hereby submit to the exclusive jurisdiction of the English courts in relation to any dispute under or in respect of them, whether contractual or non-contractual in nature.
